OWNERSHIP OF SOFTWARE

You acknowledge and agree that all the computer programs and associated documentation (collectively, the “Software”) are owned exclusively by Intaver Institute. You agree that the price paid by you for the Software is a license fee granting you only the rights set forth in this License Agreement.

LICENSE

Intaver Institute grants the user, and you accept, a limited, non-exclusive license to use the Software, in machine-readable, object code form only. You agree to use the Software only as authorized in this License Agreement. This License Agreement does not convey to you any ownership rights or any other interest in the Software.

SCOPE OF LICENSE 

The Software is licensed to be installed and used on only one Windows User Account except for corporate or enterprise licenses.  Corporate license holders are eligible to install and use the software as concurrent licenses for up to the number of users as outlined in the purchasing agreement. Enterprise license holders are eligible to install the desktop and server software up to the number of named users as defined in the license and outlined in the purchasing agreement. A valid desktop client license must be purchased for each concurrent or enterprise license installed. You may not copy or make any changes or modifications to the Software, and you may not translate, decompile, disassemble, or otherwise reverse engineer the computer program(s). You may not lend rent, lease or sublicense the Software or any copy to others for any purpose. You agree to use all reasonable efforts to protect the Software from unauthorized use, modification, reproduction, distribution, or publication. You are not permitted to make any uses or copies of the Software that are not specifically authorized by the terms of this License Agreement, and Intaver Institute reserves all rights that are not expressly granted to you. Your adherence to this License Agreement will allow Intaver Institute to continue developing innovative and useful products and providing a high level of customer service and support.

License holders of perpetual licenses may request an additional activation to be used on a secondary computer with the same Windows User Account to accommodate circumstances where the user has both a desktop and laptop computers as part of employment duties.

TRIAL VERSIONS

The Software may be obtained before-you-buy under the TRIAL VERSION terms of this license agreement. These terms permit a 30-day evaluation period. The purpose of the evaluation period is to encourage you and others to try the Software before you buy it. The TRIAL VERSION terms do not apply to RETAIL VERSION of the Software. There is no fee for downloading or otherwise obtaining the Software for the purpose of evaluation. You may use the Software for up to 30 days without purchasing a RETAIL VERSION. During the 30-day evaluation period, you will have full, unrestricted use of the software. At the end of the TRIAL VERSON period, you should decide whether you want to keep the Software. If necessary, extended evaluation licenses are available upon request.

If you decide for any reason that you do not want to purchase a RETAIL VERSION, you must stop using the Software and remove it from your computer. Purchasing a RETAIL VERSION for the Software entitles you to continue using the program.

RETAIL VERSION

The Software may also be obtained through retail purchase or subscription if you have not downloaded a TRIAL VERSION of the Software and want to purchase a software license. Upon receipt of valid payment,

Intaver Institute will issue you a copy of the software and a Software License Number and if required a Response Code. You must enter this Software License Number, (and if required, Response Code), into the Software’s license panel. In cases of Corporate licenses, this may occur automatically as part of the installation of the software.

PURCHASING A RETAIL VERSION

Purchasing a License for the Software entitles you to continue using the program after TRIAL VERSION is expired. The first time that the Software is run on your computer, it generates a unique ID. This ID as well as all other licensing information is shown in the About RiskyProject dialog box. When you purchase the software, you will receive a Software License Number. You must enter this Software License Number into the Software’s license panel. The TRIAL VERSION does not require a license number for the activation.

PERPETUAL AND SUBSCRIPTION LICENSES

You may choose to purchase a perpetual license of the software, which never expires or an annual/by-annual subscription.

  • If you purchased perpetual licenses and you wish to upgrade software to a latest version when it becomes available, you need to pay full price for the perpetual license. The upgrade to latest version made within a year of the purchase of the perpetual license is free of charge as covered under the first-year support and maintenance included with perpetual license. If you purchased perpetual license, you have a choice to purchase The Software Maintenance and Support Plan at the same time. The Software Maintenance and Support Plan is billed annually starting the second year after the purchase.
  • You may also choose to purchase an annual/by-annual subscription license. In this case you are entitled to free upgrade to any new software version which would become available during a term of subscription.

RENEWAL POLICY

If you have a subscription license, you will receive a notification by email before license expiration. The license expiration date is presented within RiskyProject user interface. You will need to access the user’s account within RiskyProject web site and extend the license. Intaver does not offer automatic renewal of the subscription license.

CANCELLATION AND TERMINATION

You may cancel your subscription at any time via your account portal, email to support@intaver.com, or other designated method. Cancellation takes effect at the end of the current billing period; no prorated refund will be provided except as required by law.

Intaver may terminate or suspend your license immediately for breach, non-payment, or other cause upon notice. Upon termination, you must cease using the Software; continued use may be disabled via the subscription server.

TERMS

This license will become effective on the date you acquire the Software and will remain in force until terminated. You may terminate the license at any time by removing the Software from your computer and destroying the original Software and all copies. This license will automatically terminate if you breach any of the terms or conditions set out in this License Agreement. You agree to remove the Software from your computer, and either to destroy the original Software and all copies of the Software or to return the Software to Intaver Institute, upon termination of this license for any reason.

TRANSFER

Transferring licenses is covered under software Maintenance and Support Plan and licenses can be transferred at anytime free of charge when software Maintenance and Support Plan is active. You may transfer your license of the Software to another employee or contractor by transferring the original program media and all applicable documentation, including the original of this License Agreement, to the recipient, who agrees to the terms of this Agreement. All other copies of the Software must be deleted and/or destroyed. Any transfer of possession of the Software terminates your license and all associated benefits under this License Agreement. You must notify Intaver Institute in writing or by email of such transfer.

 LIMITATIONS OF LIABILITY AND REMEDIES

In no event shall Intaver Institute or its licensors be liable for any loss of profit or any other commercial damage, including but not limited to special, incidental, consequential, punitive, or other damages, even if Intaver Institute or its licensors are advised, in advance, of the possibility of such damages. In no event shall the liability of Intaver Institute or its licensors exceed the purchase price paid for the Software.

SOFTWARE MAINTENANCE AND SUPPORT PLAN

For Subscription license:

RiskyProject software subscription license includes Maintenance and Support Plan during a term of the license.

For perpetual license:

The perpetual license includes Maintenance and Support Plan for one year since the date of purchase.

Maintenance and Support Plan includes:

  • Software updates (bug fixing, minor improvements, etc.)
  • Major releases (download)
  • Technical support via email is available Monday-Friday, 8:30am to 5:00 pm Mountain Standard Time. We will help with any problem related to installation, software errors, basic assistance with the usage of the software, and transfer of licenses. Number of incidents is unlimited.

OTHER TERMS AND CONDITIONS

You agree to install this software ONLY on a computer that you own or on a computer which you have been given explicit permission to install. You agree to NOT install this software on any computer you do not own or on any computer you have not been given explicit permission to install.

You acknowledge that Intaver Institute registers the Software with its license server by electronic transfer of information via the Internet to the Intaver Institute license server. This information transfer is done to register the Software and to collect system specific information to support your use of the SOFTWARE and to send you information regarding the Software. Intaver Institute acknowledges that the information collected to support you is confidential and will not be distributed to any third party.
